We and our affiliates reserve the right to refuse service at our discretion, including, without limitation, if we believe that customer conduct violates applicable law or is harmful to the interests of us and our affiliates.

All content included on this site, such as text, graphics, logos, button icons, images, and software, is our or our content suppliers’ property and protected by U.S. and international copyright laws. The compilation (meaning the collection, arrangement, and assembly) of all content on this site is our exclusive property and protected by U.S. and international copyright laws. All software used on this site is our or our software suppliers’ property and protected by U.S. and international copyright laws.

Any other use, including the reproduction, modification, distribution, transmission, republication, display, or performance, of the content on this site is strictly prohibited.

This site is provided by us on an "as is" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the site or the information, content, materials, or products included on this site.

To the full extent permissible by applicable law, we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

We will not be liable for any damages of any kind arising from the use of this site, including, but not limited to direct, indirect, incidental, punitive, and consequential damages.

Sunbrella® and Horizon® are registered trademarks and Assure™ and Color to the Core™ are trademarks of ours or our affiliates in the United States and specific countries. Our trademarks may not be used in connection with any product or service that is not ours, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits us. All other trademarks not owned by us or our affiliates that appear on this site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us or our affiliates.

To establish a link to the Sunbrella website we require that you abide by the following:

• You may link to the Sunbrella site from our logo, the trade name Sunbrella, a general phrase such as "For more information about Sunbrella fabrics, visit their website at www.sunbrella.com" or a more specific phrase such as "Sunbrella Care and Cleaning." You may not use any other graphics to establish the link.
• You are permitted to link to complete pages of the Sunbrella website, but are prohibited from linking to individual page elements such as images, blocks of text, etc.
• You are prohibited from embedding your link to the Sunbrella website in a frame contained within your website. The link to the Sunbrella website must open in a full browser window.
• Your web message must be clear in stating that your products are made using Sunbrella fabrics not that your end products are licensed by Sunbrella, us or any of our affiliates.
• The link in no way establishes a liability by Sunbrella, us or our affiliates to any written or implied warranty that you provide with your finished product.
• The establishment of the link and the use of the Sunbrella website signify your acceptance of these requirements.
• All information contained within this website is copyrighted by us.  Unauthorized use of this website is prohibited.

THIS PART TWO APPLIES IN ADDITION TO PART ONE IF YOU PURCHASE A PRODUCT OR SERVICE THROUGH THE SUNBRELLA.COM SITES (the “Sites”).

THESE TERMS OF SALE CREATE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND GLEN RAVEN CUSTOM FABRICS, LLC AND ITS AFFILIATES, INCLUDING SUNBRELLA DIRECT, LLC, REGARDING ORDERS PLACED BY YOU FOR PRODUCTS OR SERVICES. WE MAY REVISE THESE TERMS OF SALE WITHOUT NOTICE BY POSTING THEM ON THE SITES. THE TERMS OF SALE POSTED ON THE SITES AT THE TIME YOU PLACE YOUR ORDER WILL GOVERN THAT PURCHASE. BY PLACING AN ORDER YOU ACCEPT THESE TERMS OF SALE. 

ALL PRICES ARE IN U.S DOLLARS; taxes, shipping, and handling charges are additional. All prices are subject to change without notice. Taxes and shipping and handling charges are estimated amounts until the final amount is charged at the reviews and payments screen. 

All items are subject to availability and we reserve the right to impose quantity limits on any order, to reject all or part of an order, and to discontinue products or services without notice, even if you have already placed your order. 

Orders may not be altered, modified, or canceled other than at our discretion.

 We have made every effort to display as accurately as possible the colors and styles of our products that appear on the Sites. We cannot guarantee that the display of any color or style on your computer or mobile device will be accurate. In the event of an error, whether on the Sites, in an order confirmation, in processing an order, in estimating shipping charges, or otherwise, we reserve the right to correct such error and to revise your order accordingly if necessary (including charging the correct price) or to cancel the order and refund any amount charged. Your sole remedy in the event of such error is to cancel your order and obtain a refund.

Any shipping times shown on the Sites are estimates only – actual delivery dates may vary. 

Only valid credit cards or other payment method acceptable to us may be used and all refunds will be credited to the same card or, in our discretion, other payment method. By submitting your order, you represent and warrant that you are authorized to use the designated card or payment method and you authorize us to charge your order (including taxes, shipping, handling and any other amounts described on the Sites) to that card or other payment method. If the card (or other payment method) cannot be verified, is invalid, or is not otherwise acceptable, your order may be suspended or cancelled automatically. Regarding "Your Account," you agree to keep all payment cards or other payment method information current, and you agree that we may submit charges for processing even if the card (or other method) has expired or changed by the time we submit it. You must resolve any problem we encounter in order to proceed with your order.

Glen Raven Material Solutions, LLC, and its affiliates including Sunbrella Direct, LLC and Glen Raven Consumer Solutions (collectively “Glen Raven”), provide specific warranties for certain products, including without limitations, Sunbrella bags, read- made drapery, and throws, and those express, limited warranties are found on the Sites and will apply according to their terms. All other products sold by Glen Raven are PROVIDED “AS-IS” AND WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Glen Raven assumes no liability for the use of products purchased from Glen Raven, including, without limitation, their use in combination with other components, assemblies or products, or their suitability or unsuitability for a particular use or a particular environment, or their compliance with any specific state, federal, or local environmental regulation. Unless specifically stated in writing, goods sold are not fire retardant and should not be exposed to intense heat or flame, nor are goods sold water resistant, waterproof, or food safe unless specifically stated in writing. Glen Raven is not liable for normal manufacturing defects or for customary variations from specifications.  Any goods made in part or whole of man-made fibers are sold subject to the inherent imperfections in such man-made fibers. WITHOUT LIMITING THE FOREGOING, GLEN RAVEN SHALL IN NO EVENT BE LIABLE FOR LOSS OF USE OR PROFIT, OR FOR OTHER COLLATERAL, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES.

Your submission of personal information through Sunbrella.com is governed by our privacy policy, which can be reached by clicking on the “Privacy Policy” link located in the footer section of the Sunbrella.com site. These Terms of Sale incorporate by reference the terms and conditions of the Privacy Policy. 

Returns for Samples and Cleaning Products:  We do not accept returns on samples or cleaning products. All sales of samples and cleaning products are final.  If your cleaning product arrives damaged or defective, you may request a refund or replacement product within 30 days of purchase.

Return Policy for Sunbrella products: We accept returns within 30 days of the original delivery date for certain products and may include a restocking fee. The returned item must be in new condition. We will not accept used or damaged returns. Returns will be issued to the original form of payment. If you do not comply with any of the above conditions, we reserve the right to refuse the return or exchange, or to impose different or additional conditions, including, without limitation, basing our response on the current sales price. All other products sold on the Sites are subject to return or exchange only in accordance with the Sunbrella.com applicable return policy. 

THE PARTIES AGREE THAT THESE TERMS OF SALE, ANY SALES HEREUNDER, OR ANY CLAIM, DISPUTE OR CONTROVERSY ARISING FROM OR RELATING TO THESE TERMS OF SALE, SHALL, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BE GOVERNED BY THE LAWS OF THE STATE OF NORTH CAROLINA, WITHOUT REGARD TO CONFLICTS OF LAWS RULES.

You irrevocably submit to the exclusive jurisdiction of the state and federal courts of the State of North Carolina for the resolution of any legal action arising out of these Terms of Sale and you agree that venue for such legal action shall lie exclusively in Alamance County, North Carolina, for any state court action, or in the Middle District of North Carolina for any action instituted within the federal court system.

You agree to defend, indemnify, and hold us harmless from and against any and all claims, damages, costs and expenses, including attorneys’ fees, due to your use of the Sites and/or your breach of any representation, warranty, or other provision of the Terms of Sale.

Any provision hereunder that is prohibited or unenforceable in any jurisdiction shall be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions of these Terms of Sale, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

You agree that any items sold by us are controlled by the U.S. government and authorized for export only to the country of ultimate destination for use by the ultimate consignee or end-user(s) identified on the order or invoice. They may not be resold, transferred, or otherwise disposed of, to any other country or to any person other than the authorized ultimate consignee or end-user(s), either in their original form or after being incorporated into other items, without first obtaining approval from the U.S. government or as otherwise authorized by U.S. law and regulations.
